The Utah Division of Securities is responsible for administering and enforcing the Utah Uniform Securities Act, which is the collection of Utah state laws that govern the issuance and sale of securities in the state of Utah. The Utah Division of Securities is primarily concerned with three areas of securities law ﾖ licensing, registration, and anti-fraud. First, the Division operates the licensing procedures for individuals and companies who wish to offer or sell securities. Next, the Division deals with the registration of securities. Typically, securities must be registered before being issued or offered for sale, unless they are subject to exemptions pursuant to Utah state law. Finally, the Division enforces the Utah Uniform Securities Act with respect to Utah securities fraud; the Utah Uniform Securities Act makes it illegal to act fraudulently with regard to the offer or sale of securities. The Division investigates complaints regarding securities law violations, and can bring civil or administrative actions for such violations, or refer the matter for criminal prosecution, depending on the nature of the violation.
